1. Acceptance of Terms

By accessing or using znippet.ai, creating an account, installing the Znippet plugin, or subscribing to any plan, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, as well as our Privacy Policy. These Terms constitute a legally binding agreement between you and Znippet.

You must be at least 16 years of age to use this Service. By using the Service, you represent and warrant that you are at least 16 years old. If you are under 16, you may not create an account or use the Service in any capacity.

If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Description of Service

Znippet is an AI-powered video editing plugin designed for Adobe Premiere Pro, delivered as a software-as-a-service ("SaaS") subscription. The Service includes offline editing tools (such as silence removal, auto reframing, and captions) as well as AI-powered features that use large language models (LLMs) via third-party providers. AI-powered features include the Social Media Snippet Maker, YouTube Video Editor, and automated B-Roll generation.

The Service requires an active internet connection for AI-powered features, license validation, and account authentication. Certain core plugin features may function offline, but AI features and license verification require connectivity. The Service is designed to work within the Adobe Premiere Pro environment and requires a compatible version of Adobe Premiere Pro to operate.

Znippet reserves the right to modify, update, or discontinue any aspect of the Service at any time, with reasonable notice provided to active subscribers.

3. Account Registration

To access the Service, you must create an account using a valid email address and password, or by authenticating through Google OAuth. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

You are solely responsible for maintaining the confidentiality and security of your account credentials. You agree to notify us immediately via our dashboard if you suspect any unauthorized access to or use of your account.

Each individual is permitted one account. Account sharing is prohibited. Znippet reserves the right to refuse service, terminate accounts, or decline registration at our sole discretion, particularly where we suspect fraudulent activity, abuse, or violation of these Terms.

4. Subscription and Billing

Znippet operates on a subscription-based billing model. By subscribing to a paid plan, you authorize Znippet to charge your designated payment method on a recurring basis (monthly or yearly, depending on the plan selected) until you cancel your subscription.

All subscriptions auto-renew at the end of each billing cycle unless you cancel before the renewal date. You will be charged the applicable subscription fee at the beginning of each billing period. It is your responsibility to cancel before the renewal date if you do not wish to continue.

Current plans include Podcast (from $9/month) and Pro (from $15/month), with pricing varying based on billing cycle (monthly or yearly). All payments are processed securely through Paddle, our Merchant of Record. We do not store your full payment card details on our servers.

Znippet reserves the right to change subscription pricing with at least 30 days' advance notice. Price changes will take effect at your next billing cycle following the notice period. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Free Trial

Znippet offers a 7-day free trial that provides full access to the Service. The free trial begins on the date you activate it and expires 7 calendar days later.

At the end of the 7-day free trial, your subscription will automatically convert to a paid plan and your payment method will be charged unless you cancel before the trial period ends. You may cancel your trial at any time during the trial period through your account settings to avoid being charged.

Free trial eligibility is limited to one trial per person. Znippet reserves the right to modify or discontinue the free trial offer at any time without prior notice.

6. Refund Policy

You have the right to cancel and receive a full refund within 14 days of your purchase without giving any reason. The cancellation period expires 14 days after the day of the transaction. To meet the cancellation deadline, it is sufficient that you send us your request before the 14-day period ends. You can contact us through our dashboard.

If you cancel within the 14-day period, we will reimburse all payments received from you without undue delay, and no later than 14 days after we are informed of your decision to cancel. The reimbursement will be made using the same payment method you used for the original transaction. Cancellation of a subscription will prevent future charges. There are no refunds on unused subscription periods after the 14-day cancellation window has passed.

7. License Grant

Subject to your compliance with these Terms and maintenance of an active paid subscription, Znippet grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Znippet plugin for personal and commercial video editing purposes within Adobe Premiere Pro.

This license is tied to your subscription status and is valid only for the duration of your active subscription. Upon cancellation, expiration, or termination of your subscription, your license to use the plugin is immediately revoked. The license is limited to a maximum of 2 devices per account. Installing or activating the plugin on more than 2 devices simultaneously is not permitted.

You agree that you will not:

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the plugin
• Redistribute, sublicense, lease, rent, or lend the plugin or any portion thereof to any third party
• Modify, adapt, or create derivative works based on the plugin
• Remove, alter, or obscure any proprietary notices, labels, or marks on the plugin
• Use the plugin in any manner that violates applicable laws or regulations

8. Intellectual Property

All intellectual property rights in the Znippet plugin, website, branding, documentation, AI models, algorithms, and related materials are and shall remain the exclusive property of Znippet. Nothing in these Terms grants you any right, title, or interest in our intellectual property except for the limited license expressly set forth in Section 7.

Content you create, edit, or produce using the Znippet plugin remains your property. Znippet claims no ownership rights over your video projects, media files, or any other user-generated content processed through the Service. We do not use your content for training AI models or for any purpose other than providing the Service to you.

9. Acceptable Use

You agree to use the Service in a lawful and responsible manner. The following activities are strictly prohibited:

• Using AI features to generate, process, or distribute illegal, harmful, abusive, defamatory, or otherwise objectionable content
• Circumventing or attempting to circumvent usage limits, rate limits, or access controls
• Automated scraping, crawling, or programmatic access to the Service outside of the intended plugin interface
• Sharing your account credentials with others or allowing multiple individuals to use a single account
• Interfering with, disrupting, or placing an undue burden on the Service or its infrastructure
• Attempting to gain unauthorized access to any portion of the Service, other accounts, or related systems
• Using the Service to develop a competing product or service

Violation of this Acceptable Use policy may result in immediate suspension or termination of your account without prior notice or refund.

10. Fair Usage Policy

AI-powered features are subject to a monthly fair usage limit per account. Each subscription includes up to 2.5 million input tokens and 1 million output tokens per calendar month, which is equivalent to approximately 100 to 300 hours of footage analyzed by AI depending on content complexity.

Usage resets on the first day of each calendar month, regardless of your billing cycle. If you exceed the fair usage limit, AI features may be temporarily unavailable until the next billing period. We will notify you when you are approaching your limit.

Znippet reserves the right to adjust fair usage limits with at least 30 days' notice to active subscribers. Offline features (silence removal, auto reframing, captions) are not subject to usage limits.

11. AI Features Disclaimer

Znippet's AI-powered features — Social Media Snippet Maker, YouTube Video Editor, and automated B-Roll generation — are provided as assistive tools only. AI-generated outputs are not guaranteed to be accurate, complete, or error-free.

You are solely responsible for reviewing, verifying, and approving all AI-generated edits, captions, and suggestions before publishing or distributing your content. Znippet disclaims all liability for any errors, inaccuracies, or unintended results produced by AI features.

AI processing is performed using third-party providers, including OpenRouter. By using AI features, you acknowledge that your content may be processed by these third-party services in accordance with their respective terms and privacy policies. Znippet is not responsible for the practices or policies of third-party AI providers.

12. Data and Privacy

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy. By using the Service, you consent to the collection and use of your data as described in our Privacy Policy.

By creating an account, you agree to receive emails about new features and product updates. You can unsubscribe at any time via the link in each email or through our dashboard.

If you are located in the European Union or European Economic Area, you may have additional rights under the General Data Protection Regulation (GDPR). Please review our GDPR-specific disclosures for details on your rights and how to exercise them.

13. Limitation of Liability

To the maximum extent permitted by applicable law, the total aggregate liability of Znippet arising out of or related to these Terms or the Service shall not exceed the total amount you have paid to Znippet in the 12 months immediately preceding the event giving rise to the claim.

In no event shall Znippet, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, loss of revenue, business interruption, or loss of goodwill, arising out of or related to your use of or inability to use the Service, even if Znippet has been advised of the possibility of such damages.

The Service is provided "as is" and "as available." Your use of the Service is at your sole risk. If your use of the Service results in the need for servicing, repair, or correction of equipment or data, you assume all associated costs.

14. Warranty Disclaimer

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Znippet does not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not guarantee compatibility with all versions of Adobe Premiere Pro, all operating systems, or all hardware configurations. It is your responsibility to verify compatibility before subscribing.

No advice or information, whether oral or written, obtained from Znippet or through the Service shall create any warranty not expressly stated in these Terms.

15. Account Termination

Znippet reserves the right to suspend or terminate your account, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms and Conditions or any applicable law
• Abusive, threatening, or harassing behavior toward Znippet staff, partners, or other users
• Fraudulent activity, including chargebacks filed in bad faith
• Unauthorized resale, redistribution, or sharing of the plugin or account credentials
• Attempts to reverse engineer, hack, or exploit the Service
• Spreading false information or making defamatory statements about Znippet
• Account compromise or security threats due to unauthorized access

You may cancel your subscription and close your account at any time through your account settings or by contacting us through our dashboard. Cancellation will take effect at the end of your current billing period, and you will retain access to the Service until that date.

Upon termination or account closure, your license to use the plugin is immediately revoked. Account data will be retained for 30 days following termination, after which it will be permanently deleted. You may request earlier deletion by reaching out via our dashboard.

16. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Netherlands.

If you have a dispute, please contact us first via our dashboard. We will do our best to resolve it. If we cannot reach a resolution, any disputes shall be submitted to the competent court in the Netherlands.

If you are a consumer in the EU, you may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

17. Modifications to Terms

Znippet reserves the right to modify, amend, or update these Terms at any time. We will provide at least 30 days' advance notice of material changes by posting the updated Terms on this page and updating the "Effective Date" above. For material changes that significantly affect your rights or obligations, we will also notify you via the email address associated with your account.

Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of the Service and cancel your subscription before the changes take effect.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms and Conditions, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Znippet with respect to the Service. These Terms supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and Znippet regarding the Service.
